Introduction
Welcome to Taxoday! These Terms and Conditions (“Terms”) govern your access and use of our services, software, website, and mobile applications (“Platform”) offered by Zenoday Solution Private Limited (“Taxoday,” “we,” “us,” or “our”). By accessing or using our Platform, you agree to comply with these Terms. If you do not agree, you must not use our services.
1. Acceptance of Terms
1.1 Binding Agreement
These Terms and Conditions (“Terms”) constitute a binding electronic agreement between you (the “User”) and Taxoday (the “Company”), under the provisions of the Information Technology Act, 2000 and its amendments, and any other applicable laws in force. This electronic agreement governs your use of the Platform, and by accessing, browsing, or using any part of the Platform, you agree to be bound by these Terms, including any updates, revisions, or modifications that may occur from time to time. The Platform refers to any websites, applications, or services provided by Taxoday, including mobile applications, desktop platforms, and any other digital or online service provided.
1.2 Acknowledgement of Terms
By using the Platform, you acknow ledge that you have thoroughly read, understood, and agreed to all the provisions of these Terms. You also agree that these Terms will apply to any future versions, updates, or new services added to the Platform. Your agreement with these Terms is required before you can access or use the Platform’s services, including any tools, features, content, or functionalities offered through the Platform.
If you do not agree to any of the terms outlined in this document, you must refrain from using the Platform. Your continued use of the Platform constitutes your explicit consent to abide by the Terms as they are amended.
1.3 Modification of Terms
Taxoday reserves the right to modify, amend, or update these Terms at any time, at its sole discretion. Any changes to the Terms will be posted on the Platform, and the "Last Updated" date at the top of this document will reflect the date of such updates. While we will make reasonable efforts to notify you of material changes, it is your responsibility to review the Terms periodically to stay informed of any revisions.
By continuing to use the Platform after any changes are posted, you accept and agree to the updated Terms. If you disagree with any modifications to the Terms, you may stop using the Platform, and your sole remedy for any disagreement with the Terms will be to discontinue use of the Platform.
2. Eligibility
2.1 Intended Users
Our services are specifically intended for individuals who are Indian citizens, Non-Resident Indians (NRIs), or entities that are lawfully operating under the jurisdiction of Indian law. By using the Platform, you confirm that you meet this eligibility criterion. Services provided by Taxoday may only be used by individuals or organizations who are in compliance with Indian laws, and are subject to Indian tax regulations and statutes. If you are accessing the Platform from a location outside India, you must comply with local laws and regulations related to the use of our services, as well as tax and financial compliance.
2.2 Age and Legal Capacity
To access and use the Platform, you must be 18 years or older. By using the services, you confirm that you have attained the legal age required under Indian law to enter into binding contracts. You further agree that you are legally capable of assuming responsibility for your actions and obligations while using the Platform, and that your use of the services is in accordance with all applicable laws. If you are using the Platform on behalf of an organization (e.g., a company, partnership, or any other legal entity), you confirm that you have the authority to bind the organization to these Terms and Conditions. If you are under the age of 18, you are not permitted to use the Platform, and you must immediately discontinue any use of the services.
2.3 Prohibited Users
You are prohibited from using the Platform if you have been previously suspended, terminated, or removed by Taxoday for any reason. If you have violated these Terms or any applicable law, Taxoday reserves the right to prevent your access to the Platform either temporarily or permanently. This includes situations where you have been removed for any breach of the Terms, including but not limited to illegal activities, fraud, violation of intellectual property rights, or any other behavior that is deemed harmful or contrary to the interests of Taxoday, its users, or partners. If your account has been suspended or terminated, you may not create a new account or use any services offered by Taxoday without explicit permission.
3. Definitions
- "Platform" means the website and mobile application operated by Zenoday Solution Private Limited /www.taxoday.com.
- "Professional" means any Chartered Accountant (CA), Chartered Accountant firms, Advocate, Law Firms or other consultants and consulting firms listed on the platform.
- "Client" refers to any person or entity accessing the platform to avail themselves of services from professionals.
- "Services" means listing, profile display, appointment booking, video meeting facilitation and payment facilitation through the platform and all other tech.
4. Eligibility
By using the platform:
- Clients confirm they are 18 years or older and capable of entering into a legally binding agreement.
- Certified and authorized professionals (CAs, Advocates, PF (Provident Fund), ESIC, Professional Tax (PT), MSME Registration, Labour Law advisor, Import Export (IE) Consultants and Accountants / Bookkeepers etc.) are allowed to register and be listed. Proof of qualifications, registrations, and licenses must be submitted and verified before listing approval.
- Platform reserves the right to verify credentials or request supporting documentation.
5. Professional Obligations
- Professionals must provide accurate, up-to-date, and complete information on their profiles.
- Professionals are solely responsible for their consultations, advice, and any services rendered to clients.
- Professionals must maintain client confidentiality and adhere to applicable laws, including the Bar Council and ICAI regulations.
- Professionals must update availability, pricing, and contact information regularly.
6. Platform Rights and Responsibilities
6.1 Service Scope
Platform acts solely as a digital intermediary providing a listing, discovery, and booking interface for Clients to connect with Professionals such as Chartered Accountants, Advocates, and other Consultants. The platform may also facilitate video/audio consultations, messaging, and payment routing via integrated third-party services and tools.
6.2 No Advisory Role
The platform does not offer legal, financial, accounting, tax, or professional advice of any kind. Any advice, opinion, or consultation provided by listed Professionals is solely their responsibility and does not represent the views or position of Platform. Clients are encouraged to independently verify the credentials and expertise of any Professional before engaging in services.
6.3 No Endorsement or Certification
A listing on the Platform does not constitute an endorsement, certification, or guarantee of the Professional’s qualifications, competence, or service quality. The platform does not independently verify or audit the advice or work provided by Professionals.
6.4 Limitation of Liability
Platform shall not be held liable for any claims, disputes, losses, or damages (direct or indirect) arising from:
- The content, quality, or outcome of consultations
- Errors, omissions, negligence, or misconduct by Professionals
- Failure of Clients or Professionals to fulfil their respective obligations. All engagements are made directly between Clients and Professionals, and Platform disclaims all liability related to such engagements.
7. Payments and Fees
7.1 Payment Processing
All payments for consultations or services booked through the Platform shall be processed via our integrated payment gateway (e.g., Razorpay Route, Cashfree or other authorized processors). Clients shall make payments directly to Professionals through this secure channel.
7.2 Platform Fees
Platform reserves the right to deduct applicable charges as follows:
- A Platform Service Fee, can be charged to the Client, which covers platform access, technology, and support. which is intended to cover costs associated with:
- Access to the platform’s features and tools
- Technology infrastructure and maintenance
- Customer support and operational facilitation
- A call facilitation and streaming fee, charged to the professional, covers the cost of video/audio conferencing infrastructure and related tools.
These fees shall be deducted automatically from the transaction amount in accordance with the commercial terms agreed during the Professional’s onboarding. - All applicable taxes, including Goods and Services Tax (GST) at 18%, will be levied on the Platform Service Fee as per government regulations
7.3 Non-Refundable Charges
All fees, charges, and deductions are non-refundable once a payment is processed, except where explicitly stated otherwise in the Platform's refund or cancellation policy or in the specific Professional’s service terms.
7.4 Taxes
All payments may be subject to applicable taxes (e.g., GST or other statutory levies). The platform is not responsible for any tax liabilities arising from payments between Clients and Professionals beyond the platform’s service scope.
7.5 Payment Gateway Disclaimer
Taxoday uses third-party payment gateway service providers (such as Razorpay, Cashfree, etc.) to process payments for subscriptions, listings, and digital tools. By making a payment on our platform, you agree to the terms and conditions of the respective payment gateway service provider.
Taxoday does not store or process your card or payment credentials directly and is not liable for any:
- Delays or failures in processing payments
- Unauthorized transactions or breaches
- Downtime or technical issues related to the payment service
- Errors, fraud, chargebacks, or security breaches on the part of the payment gateway
All payment-related disputes must be raised directly with the payment gateway provider as per their dispute resolution process. Taxoday will, however, assist in sharing transactional details for verification purposes if requested.
8. Listing Removal and Suspension
8.1 Platform Discretion
Platform reserves the unconditional right to suspend, modify, or permanently remove any Professional listing from the platform, at its sole discretion, with or without prior notice, under circumstances including but not limited to the following:
8.1.1 Grounds for Removal or Suspension
- False or Misleading Information: Any incorrect, fraudulent, or intentionally misleading information in the profile, credentials, or services offered.
- Client Complaints or Misconduct: Verified reports of unprofessional behaviour, unethical conduct, or consistent negative client feedback.
- Regulatory or Legal Non-Compliance: Non-compliance with applicable laws, regulatory guidelines, or licensing requirements, including failure to provide necessary documents when requested.
- Inactivity: Prolonged periods of inactivity, failure to respond to client inquiries or bookings, or failure to update profile and service information as required.
- Violation of Platform Policies: Breach of any clause in these Terms and Conditions, Privacy Policy, or any other binding agreement with Platform.
8.2 Account Suspension, Listing Removal & Platform Rights
Taxoday reserves the right to suspend, remove, or permanently ban any professional profile or business listing from the platform at its sole discretion, without any obligation to justify or disclose specific reasons, unless such disclosure is legally mandated.
The decision of the platform in such matters shall be final and binding.
We further reserve the right to:
- Remove or delist any business profile with a minimum of 15 days' written notice, or
- Suspend or ban any account/profile for an indefinite period without prior notice in cases involving suspected fraud, misuse, violation of terms, or breach of ethical codes (e.g., ICAI, BCI, or other regulatory bodies).
No refund shall be applicable in such cases unless otherwise stated under the Refund & Cancellation Policy or required by applicable law.
8.3 Post-Removal Obligations
Professionals whose listings are removed or suspended must immediately cease representing themselves as being affiliated with or listed on the Platform. Any pending obligations towards Clients shall be resolved directly between the parties, and Platform disclaims any responsibility in this regard.
9. Client Protection and Listing Enforcement
9.1 Platform Oversight
Platform reserves the right, but is not obligated, to monitor the performance, conduct, and compliance of all listed Professionals. This includes a review of client feedback, ratings, complaints, and activity history.
9.1.1 Suspension and Removal of Listings
The Platform may, at its sole discretion and without prior notice, suspend or permanently remove a Professional’s listing for reasons mentioned in section 7.
9.1.2 No Liability for Enforcement Actions
Platform shall not be liable for any loss or damage incurred by a Professional as a result of such suspension or removal. Decisions taken by the Platform in this regard shall be final.
9.1.3 Client Assurance
These enforcement actions are intended to uphold service quality and protect Clients from fraud, unprofessional conduct, or non-compliant services. However, Platform does not guarantee the outcome or quality of any engagement between Clients and Professionals.
10. Professional Responsibility
Professionals must ensure timely attendance, maintain consultation quality, and provide services as promised during the scheduled session.
10.1 Refund Compliance
Professionals agree to cooperate in genuine refund cases, including but not limited to:
- Failure to attend the scheduled session (no-show)
- Inability to deliver the consultation due to personal or technical issues
- Verified client complaints related to unprofessional behavior or service delivery failure
Refunds, if approved, will be processed directly to the client’s original payment method via Razorpay, Cashfree, or other integrated payment gateways. Professionals must authorize or return the consultation fee if already received.
10.2 Reschedule Compliance
Professionals agree to:
- Accept valid reschedule requests from clients in accordance with Taxoday’s rescheduling policy.
- Notify clients in advance in case they need to initiate a reschedule due to personal or unavoidable circumstances.
- Provide at least one alternate time slot within 3 days of the original booking.
- Cooperate with Taxoday support in cases where disputes arise over technical failures or missed sessions.
Failure to honor valid reschedule requests may be treated similarly to a no-show and could result in a refund or platform action.
10.3 Non-Compliance
Failure to cooperate in refund or reschedule scenarios, or repeated client complaints, may result in:
- Temporary suspension of the professional’s listing
- Permanent removal from the Taxoday platform
- Withholding of future payouts until issues are resolved
Professionals acknowledge that their conduct directly impacts client trust and the reputation of the Taxoday platform. Continued listing is subject to strict adherence to service standards, client satisfaction, and compliance with platform policies.
11. Intellectual Property
All rights, title, and interest in and to the Platform, including but not limited to its software, design, text, graphics, logos, and all content (excluding professional profiles and other content material published by professionals), are the exclusive intellectual property of Zenoday Solution Private Limited. Unauthorised use, reproduction, or distribution of any platform content is strictly prohibited.
By registering on the Platform, professionals grant Zenoday Solution Private Limited a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, display, distribute, and publish their name, image, credentials, and professional profile for listing, marketing, and promotional purposes, both on and off the Platform.
12. Data Privacy
All user and client data collected through the Platform shall be stored, processed, and protected in accordance with our [Privacy Policy]. Professionals shall maintain strict confidentiality and are expressly prohibited from disclosing, misusing, or sharing any client or user data accessed through the Platform. Any breach of this clause may result in legal action, suspension, or termination of access to the Platform.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Zenoday Solution Private Limited shall not be liable for:
- The accuracy, completeness, legality, or reliability of services, advice, or consultation provided by professionals on the Platform.
- Any direct, indirect, incidental, punitive, or consequential loss or damage, including financial, legal, or reputational harm, arising from the use of the Platform or reliance on professional advice.
- Interruptions, delays, or unavailability of the Platform due to system failures, maintenance, or third-party service disruptions.
The Platform is provided on an “as-is” and “as-available” basis without warranties of any kind, express or implied.
14. Indemnification
(a) By Professionals:
Professionals using the Platform agree to fully indemnify, defend, and hold harmless Zenoday Solution Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, expenses, or costs (including reasonable legal fees) arising out of or in connection with:
- Breach of these Terms or any applicable law or regulation by the professional.
- Any false, misleading, or negligent advice or services rendered to clients.
- Any disputes or claims made by clients or third parties arising from professional conduct or service delivery through the Platform.
(b) By Clients:
Clients using the Platform agree to fully indemnify, defend, and hold harmless Zenoday Solution Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, expenses, or costs (including reasonable legal fees) arising out of or in connection with:
- Misuse of the Platform or violation of these Terms.
- Any unauthorised, unlawful, or fraudulent use of the services or content obtained through the Platform.
- Disputes, claims, or liabilities arising from direct engagements, transactions, or communications with professionals through the Platform.
15. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. The courts located in Pune, Maharashtra, India, shall have exclusive jurisdiction over all disputes, claims, or legal proceedings arising under these Terms.
16. Amendments
Zenoday Solution Private Limited reserves the right to modify, revise, or update these Terms at any time at its sole discretion. Users and professionals are advised to review the Terms periodically. Continued access or use of the Platform following any changes shall constitute acceptance of the revised Terms.
